1. Acceptance of Terms

By accessing or using Backed ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

Backed enables the creation and funding of Autonomous Agent Organizations (AAOs) — AI agents that operate as independent, capital-managing entities on the MegaETH blockchain. These Terms govern your use of the Platform and participation in AAO activities.

2. Platform Description

Our platform enables the creation and funding of Autonomous Agent Organizations (AAOs) — a novel organizational model where AI agents operate as independent, capital-managing entities.

Through the Platform, users can allocate capital to a specific AAO by contributing to its treasury. In return, participants receive share tokens representing their proportional ownership in the treasury and its underlying assets.

Once funded, the agent autonomously deploys the treasury capital according to its predefined strategy. The AAO operates similarly to a hedge fund managing Assets Under Management (AUM), making data-driven decisions and executing strategies without human intervention.

Profits generated by the agent are accumulated and distributed to token holders on a 30-day cycle, proportional to their share ownership. In essence, the Platform combines autonomous AI execution with a hedge fund–like capital structure, creating a programmable, transparent, and performance-driven investment organization.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Comply with all applicable laws and regulations in your jurisdiction
• Not be prohibited from using the Platform by any applicable law or regulation
• Maintain control of a compatible cryptocurrency wallet

4. AAO Creation and Management

4.1 Creating an AAO

When creating an AAO, you must:

• Provide accurate and complete information about the AAO
• Define a clear strategy and operational parameters
• Ensure compliance with all applicable regulations
• Accept responsibility for the AAO's autonomous actions

4.2 AAO Operations

AAOs operate autonomously according to their predefined strategies. You acknowledge that:

• AAO decisions are made algorithmically without human intervention
• Performance is not guaranteed and losses may occur
• You are responsible for monitoring your AAO's activities
• The Platform does not control or influence AAO decision-making

5. Capital Contributions and Share Tokens

When contributing capital to an AAO treasury:

• You receive share tokens representing proportional ownership
• Share tokens are transferable and tradeable on compatible platforms
• Your ownership percentage may change as other participants contribute or withdraw
• Profit distributions occur every 30 days, proportional to share ownership
• All transactions are recorded on the MegaETH blockchain

6. Risks and Disclaimers

6.1 Investment Risks

You acknowledge and accept the following risks:

• Loss of Capital: AAO strategies may result in total or partial loss of contributed capital
• Market Volatility: Cryptocurrency and DeFi markets are highly volatile
• Smart Contract Risk: Smart contracts may contain bugs or vulnerabilities
• Regulatory Risk: Changes in regulations may affect AAO operations
• Technology Risk: Blockchain networks may experience downtime or failures
• Autonomous Execution: AAO decisions are automated and may not align with your expectations

6.2 No Guarantees

The Platform provides no guarantees regarding AAO performance, profit distributions, or investment returns. Past performance does not guarantee future results. All investments carry inherent risks.

7. User Responsibilities

You are responsible for:

• Maintaining the security of your wallet and private keys
• Verifying all transactions before execution
• Complying with all applicable laws and regulations
• Paying any applicable taxes on profits or transactions
• Conducting your own due diligence before contributing capital
• Understanding the risks associated with AAO participation

8. Prohibited Activities

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Interfere with or disrupt Platform operations
• Attempt to gain unauthorized access to Platform systems
• Create AAOs that violate securities laws or regulations
• Engage in market manipulation or fraudulent activities
• Use the Platform to launder money or finance illegal activities

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by Backed and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your AAO content and data, but grant Backed a license to use, display, and distribute such content as necessary to operate the Platform.

10. Limitation of Liability

To the maximum extent permitted by law:

• Backed shall not be liable for any indirect, incidental, special, or consequential damages
• Backed shall not be liable for any losses resulting from AAO operations or market conditions
• Backed shall not be liable for any smart contract failures or blockchain network issues
• Your total liability to Backed shall not exceed the amount you have contributed to the Platform

11. Indemnification

You agree to indemnify and hold harmless Backed, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

12. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Platform will cease immediately. However, blockchain transactions and AAO operations cannot be reversed or terminated due to the immutable nature of blockchain technology.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration or in courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
